Summit Partners to invest EUR 58.9 million in Actix Limited

March 2, 2005; LONDON and BOSTON -- — Summit Partners announced today that it has reached a definitive agreement to invest in Actix Limited, the leading provider of wireless performance engineering solutions. Under the terms of the agreement, Summit Partners will invest 40.6 million (USD$76.1 million) for a majority ownership stake in the company. Management shareholders of Actix will continue to hold a sizeable minority stake in the business.

Founded in 1991 and headquartered in London, UK, Actix is the international market-leader in wireless performance engineering software. Actix solutions address two of the biggest issues facing wireless operators today: the need to squeeze more out of their existing network investments and the race to generate significant new revenue from wireless data services. Applications include network performance troubleshooting, verification of customer-perceived service quality; competitive analysis and accelerated new-technology rollout.

“Summit Partners is excited to be partnering with the management of Actix,” said Scott Collins, managing director of Summit Partners’ London office. “Wireless technologies are growing increasingly complex. Actix is well-positioned to assist mobile operators in optimizing their networks and in profitably rolling out new data-intensive services.” Mr. Collins will join the Actix Board of Directors.

Rob Dobson, founder and CEO of Actix commented, “Summit Partners is the ideal partner to help us continue to grow and strengthen our company. Following this investment, Actix will remain independent, and will benefit from Summit’s considerable experience in helping to build technology industry leaders. This investment will help us to further our commitment to deliver world-class software solutions to our customers.”

Summit Partners’ investment in Actix is expected to be completed within a few weeks.
